Gnosis Companies, Inc. (“Gnosis Freight,” “we,” “our,” “us”) operates the Services. These Terms of Use apply to your use of Chasing Freight (the “Services”). These terms form an agreement between you and Gnosis Companies, Inc., a Delaware corporation. By subscribing Chasing Freight, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated herein by reference.

When these Terms Apply

These Terms apply when you subscribe to use the Services, effective as of the Updated date above. By using or accessing the Services, you signify that you have read, understand, and agree to be bound by these Terms.

Location-Specific. The Services operates from the United States, but the Terms apply worldwide. Our practices generally do not differ based on your location, but your rights and choices depend in part on the law where you live. For example, you may have rights under: (1) “GDPR”: implementations of the Data Protection Act of 2018 and the General Data Protection Regulation (EU) 2016/679; or (2) “CCPA”: the California Consumer Privacy Act, as amended.

As a result, certain sections of these Terms apply to you only if you reside in a particular location:

  • Residents of jurisdictions where GDPR applies – such as U.K., EU and Swiss residents – should consult the Rights under GDPR and International Data Transfers sections.
  • Residents of Mexico should consult the Aviso de Privacidad addendum.
  • Canadian residents should consult the Canadian users section.
  • California residents should consult the Rights under California law section. If you reside in a U.S. jurisdiction that has enacted a data privacy law similar to CCPA or GDPR, we extend the same rights CCPA grants to California residents to you, except where we specify otherwise.

Who We Are

Chasing Freight, powered by Gnosis Freight is a fully generative artificial intelligence (AI) newsletter targeted to summarize the latest and most relevant macro and micro events that could have an impact on the lifecycle of a container in the freight-logistics industry.

Registration and Access

Minimum Age. You must be at least 13 years old, or the minimum age required in your country to consent to use of the Services. If you are under 18 you must have your parent or legal guardian’s permission to use the Services.

Registration. You must provide an accurate and complete email address to register to use our Services. You may not share, by forwarding the email or otherwise, or make your subscription available to anyone else. If you register an email address or use the Services on behalf of another person or entity, you must have the authority to accept these Terms on their behalf.

Using Our Services

What You Can Do. Subject to your compliance with these Terms, you may access our Services. In using our Services, you must comply with all applicable laws as well as any other documentation, guidelines, or policies we make available to you.

What You Cannot Do. You may not use our Services for any illegal, harmful, or abusive activity. For example, you may not:

  • Use our Services in a way that infringes, misappropriates, or violates anyone’s rights.
  • Modify, copy, lease, sell, or distribute any of our Services.
  • Attempt to or assist anyone to reverse engineer, decompile, or discover the source code or underlying components of our Services, including our models, algorithms, or systems (except to the extent this restriction is prohibited by applicable law).

Feedback. We appreciate your feedback, and you agree that we may use it without restriction or compensation to you.

Content

Content. Using the power of natural language processing (NLP) technology, Chasing Freight generates concise summaries and catchy titles with emojis for the most relevant newsletters in the freight and logistics industry (“Content”).

Accuracy. Artificial intelligence and machine learning are rapidly evolving fields of study. We are constantly working to improve our Services to make them more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of our Services may, in some situations, result in Content that does not accurately reflect people, entities, places, or facts.

When you use our Services you understand and agree:

  • Content may not always be accurate. You should not rely on Content from our Services as a sole source of truth or factual information, or as a substitute for professional advice.
  • You must evaluate the Content for accuracy and appropriateness for your use case, including verifying the news source and factual information, before using or sharing Content from the Services.
  • You must not rely on Content relating to a person or entity for any purpose that could have a legal or material impact on that person or entity, such as making credit, educational, housing, insurance, legal, medical, or other important decisions about them.
  • Our Services may provide incomplete or incorrect Content that does not represent Gnosis Freight’s views. If “Content” references any third-party products or services, it does not mean that the third party endorses or is affiliated with Gnosis Freight.

We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such Content by you or any other subscriber/visitor to Chasing Freight, or by anyone who may be informed of any of its contents.

Chasing Freight includes Content provided by third parties. All statements and/or opinions expressed in such content, and all articles and other content are solely the opinions and the responsibility of the person or entity providing such content. Such third-party consent does not necessarily reflect the opinion of Gnosis Freight. We are not responsible, or liable to you or any third party, for the content or accuracy of any content provided by any third parties.

Our IP Rights

Chasing Freight and Gnosis Freight’s trademarks, logos, intellectual property, content, features, and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection, and arrangement thereof) are owned by Gnosis Freight, its licensors, or other providers of such content and are protected by the United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Termination and Suspension

Termination. You are free to stop your subscription to receive our Services at any time. We reserve the right to suspend or terminate your subscription to our Services if we determine:

  • You breached these Terms or our Usage Policies.
  • We must do so to comply with the law.
  • Your use of our Services could cause risk or harm to Gnosis Freight, our users, or anyone else.

Appeals. If you believe we have suspended or terminated your subscription to our Services in error, you can file an appeal with us by contacting legal@gnosisfreight.com.

Discontinuation of Services

We may decide to discontinue offering our Services, but if we do, we will give you advance notice.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED “AS IS.” EXCEPT TO THE EXTENT PROHIBITED BY LAW, WE ARE OUR AFFILIATES AND LICENSORS MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE) WITH RESPECT TO THE SERVICES, AND DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, OR ERROR FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.

YOU ACCEPT AND AGREE THAT ANY USE OF THE CONTENT FROM OUR SERVICE IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON CONTENT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL WE, OUR AFFILIATES, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, CHASING FREIGHT, ANY WEBSITES LINKED TO IT, OR ANY CONTENT ON CHASING FREIGHT, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

The limitation of liability set our above does not apply to liability resulting from our gross negligence or willful misconduct.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnity

If you are a business or organization, to the extent permitted by law, you will indemnify and hold harmless us, our affiliates, and our personnel from and against any costs, losses, liabilities, and expenses (including attorneys’ fees) from third party claims arising out of or relating to your use of the Services and Content or any violation of these Terms.

We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any content accessible on or from Chasing Freight infringe your copyright, you may request removal of such content (or access to them) from Gnosis Freight by submitting written notification to our General Counsel designated below. In accordance with the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act (17 U.S.C. § 512) (“SCMA”), the written notice (the “DCMA Notice”) must include substantially the following:

Written claims concerning copyright infringement must include the following information:

  • A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest.
  • A description of the copyrighted work that you claim has been infringed upon.
  • A description of where the allegedly infringing material is located on our site so we can find it.
  • Your address, telephone number, and e-mail address.
  • A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • A statement by you that the above information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner’s behalf.

If you fail to comply with all of the requirements of Section 512(c)(3) of the DCMA, your DCMA Notice may not be effective.

Please be aware that if you knowingly materially misrepresent that content or activity on Chasing Freight is infringing your copyright, you may be held liable for damages (including costs and attorneys’ fees) under Section 512(f) of the DCMA.

Arbitration

At our sole discretion, it may require you to submit any disputes arising from these Terms or use of Chasing Freight, including any disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Delaware law.

General Provisions

Assignment. You may not assign or transfer any rights or obligations under these Terms and any attempt to do so will be void. We may assign our rights or obligations under these Terms to any affiliate, subsidiary, or successor in interest of any business associated with our Services.

Changes to These Terms or Our Services. We are continuously working to develop and improve our Services. We may update these Terms or our Services accordingly from time to time. For example, we may make changes to these Terms or the Services due to:

  • Changes to the law or regulatory requirements.
  • Security or safety reasons.
  • Circumstances beyond our reasonable control.
  • Changes we make in the usual course of developing our Services.
  • To adapt to new technologies.

We will give you at least 30 days advance notice of changes to these Terms that materially adversely impact you either via email or an in-product notification. All other changes will be effective as soon as we post them to our website. If you do not agree to the changes, you must stop using our Services.

Delay in Enforcing These Terms. Our failure to enforce a provision is not a waiver of our right to do so later. Except as provided in the Arbitration section above, if any portion of these Terms is determined to be invalid or unenforceable, that portion will be enforced to the maximum extent permissible, and it will not affect the enforceability of any other terms.

Entire Agreement. These Terms contain the entire agreement between you and Gnosis Freight regarding the Services and, other than any Service-specific terms, supersedes any prior or contemporaneous agreements between you and Gnosis Freight.

Governing Law. Delaware law will govern these Terms except for its conflicts of law principles. Except as provided in the Arbitration section above, all claims arising out of or relating to these Terms will be brought exclusively in the federal or state courts of Delaware.
